We hired PN, LLC to conduct technical and operational due diligence for a client’s potential acquisition. Paul combined data analysis techniques, technology tools, and information management principles to evaluate overall traffic quality i.e. ad revenue verification, website analytics, human vs. bot traffic. I had a close professional working relationship with Paul since 2011 as a consultant and COO for an online publisher exclusively represented by the James R. Whelan Agency, LLC (JRWA). During his tenure, Paul demonstrated his ability to work with JRWA to maximize revenue for both his client and JRWA. Paul is always willing to obtain the facts before making a decision. His diligence in obtaining and verifying those facts resulted in decisions that reduced expenses, losses and/or increased revenue for his client as well as JRWA. We hired [PN, LLC] to perform due diligence on a $6 million-dollar asset purchase. Paul analyzed numerous accounting, financial and legal documents, highlighted concerns and impairments regarding the acquisition, and expressed caution going forward. To Paul’s credit, he was instrumental in our decision to pass on this opportunity, saving LMI from significant expense and heartache.
In 2013, I worked with Paul's company PN, LLC on a Site Security Assessment (SSA) that included both physical security and cyber/network assessments -- as well as a "Red Team" involving former Navy SEALs and Special Operations Forces (SOF) personnel -- for a mutual client. The vulnerability assessment revealed numerous physical security and cyber vulnerabilities that otherwise would have gone undocumented, helping key management personnel (KMP) rethink their owner home and corporate office security postures.
In 2014, I worked with Paul's company PN, LLC on a Stock Repurchase and Note Issuance Agreement transaction involving a diversified New Media company with independent news business and related business segments in advertising, e-commerce, publishing and subscription-based products and services and 15 accredited investors. To Paul's credit, he was able to get both sides to agree on fair market value (FMV), secure board approval and let the attorneys work out the remaining details. I can honestly say without Paul's assistance, the deal never would have closed.
In 2013, I worked with Paul's company PN, LLC on a value creation project for a mutual publishing client. With Paul's assistance, we were able to secure an author contract that turned into a lucrative New York Times bestseller. It was a win-win-win deal for the author, client and client's investors.
I had the pleasure of working with Paul Niedermeyer almost 4 years as an outside controller. We worked closely in operations, accounting, finance and technology while he was [a contract] COO. In this role, he had a considerable amount of responsibility, handled it strategically, and demonstrated his management skills, especially the ability to lead and effectively communicate with the executive team, other managers, auditors and legal counsel. Due to his dedication and attention to detail, the client had a successful two-year PCAOB audit.
